Imagine new horizons As a member of our North American Legal team, you will support our sales and services organizations in the Americas. You will actively manage, draft, and negotiate complex commercial agreements, particularly sales, services, and license agreements for commercial software products. You will coordinate and manage contractual relationships with external customers, partners, and suppliers through completion. You will act as an advisor on legal issues arising in the course of the Companys business, including issues related to contract interpretation, intellectual property, corporate policy, and regulatory compliance.What will your role be?Primary responsibilities are drafting, reviewing, and negotiating complex software license agreements, services agreements, vendor contracts, IP licenses, and nondisclosure agreements and ensuring that such contracts are executed in compliance with company policy and applicable laws and regulations.You will interact with management and senior customer personnel on enterprise-level matters requiring coordination across organizational lines, as well as provide leadership to internal teams and stakeholders in formulating partnering strategies and plans, and in defining the legal risks associated with such plans.The challenges ahead:Partner closely with sales and services, and finance teams to understand applicable processes and business practices.Identify and report potential risk associated with customer-facing contracts and productsNegotiate contracts, propose creative alternatives and protect the Companys position to mitigate riskCollaborate extensively and positively with sales, services, and other internal teamsCollaborate extensively with members of the legal team to ensure conformity of contract terms globallyDraft letters, memos, departmental and/or company communications and other legal documentsYour key success factorsJuris Doctor from an accredited US law schoolAdmission to the California Bar Work onsite at DS local officesConsistently demonstrates the highest level of integrity without compromise with regards to ethical standards5 - 8 years of legal experience at either a law firm or in-house, or bothSignificant experience in drafting, reviewing, and negotiating contracts, particularly with large, domestic, and international customersAbility to prioritize and manage multiple projects simultaneously while also managing critical deadlinesFlexible, able to quickly adjust to evolving internal and external customer requirements, including deadlinesHighly organized with critical attention to detailsAbility to build relationships with internal clients and Legal Department along with the ability to work independently and/or within a collaborative team structurePositive, self-motivated individual with a high level of enthusiasm and willingness to learn and incorporate coaching and instructions into daily tasks and assignmentsStrong functional use of Microsoft Office Excel, Word, PowerPointStrong communication skills in two parts: 1.) very strong writing skills utilizing the rules of English grammar; 2.) verbally clear, concise, and grammatically correct oral (speaking) communication skills in EnglishPluses, not requiredExperience in the software industry or with software-specific agreements, particularly enterprise license or services agreements Experience with government contracts In-house legal experienceExperience with litigation-related mattersGeneral corporate law experience including corporate governance matters and mergers and acquisitionsSDL2017
